DUE AUTHORIZATION/EXECUTION. Such Party is a corporation duly incorporated and in good standing as of the Effective Date, and has taken all necessary actions on its part to duly authorize the execution, delivery and performance of this Agreement. This Agreement has been duly executed and delivered by such Party and constitutes a legal, valid and binding obligation of such Party, enforceable against such Party in accordance with its terms.
DUE AUTHORIZATION/EXECUTION. Borrower and Guarantors represent, warrant and acknowledge that the execution, delivery and performance of this Agreement has been duly authorized by Borrower, and that this Agreement, when executed and delivered, constitutes the valid, binding and legally enforceable obligation of Borrower and the Guarantors in accordance with the terms hereof.
DUE AUTHORIZATION/EXECUTION. Upon execution hereof, each party shall promptly provide to the other party reasonable evidence of its due authorization of this Agreement.
