DTV Sample Clauses
DTV. The parties recognize that public television stations are required to program digital television bands and engage in “multicasting,” with the digital band divided into multiple signals. Accordingly, the parties agree that Producer shall have the right to exhibit the programs produced under this or any prior AFTRA Public Television Code over DTV, provided that Performers appearing in “out of license” programming (i.e., the period(s) of exhibition on Public Television under Paragraphs 5.E and 6.A of this Agreement have been exhausted) exhibited over DTV shall be compensated with a $50 payment of such exhibition. Said payment shall also permit telecast by digital cable of such broadcast television bands.
DTV. (i) was and remains duly incorporated under the laws of the State of Nevada; and
(ii) is in good standing with respect to the filing of annual reports with the appropriate regulatory body in the State of Nevada;
DTV. WNGS has been assigned Channel 46 by the FCC for the provision of digital television service. Such assignment has not been vacated, reversed, stayed, set aside, annulled or suspended, is not the subject of any pending timely appeal, request for stay, or petition for rehearing, reconsideration or review by any Person or by the FCC on its motion, and the time for filing any appeal, request, petition, or similar document or for the reconsideration or review by the FCC on its own motion has expired. Seller has filed an application with the FCC for a construction permit to implement WNGS's digital television allotment (the "Initial DTV Application").
DTV. Buyer acknowledges that, if applicable as provided by Schedule 5.12, the DTV construction at certain Stations must be timely completed to meet replication/maximization requirements for interference protection or to meet other applicable FCC requirements. Seller shall commence such work in the ordinary course of business, but completion thereof is not a condition to Closing.
