Drafters Sample Clauses
The "Drafters" clause identifies the individuals or parties responsible for preparing and composing the contract or agreement. In practice, this clause may specify which party's legal counsel or representative drafted the document, and can clarify whether both parties contributed to the drafting process. Its core function is to address potential ambiguities in contract interpretation by preventing one party from being disadvantaged due to the "contra proferentem" rule, which interprets ambiguous terms against the drafter.
Drafters. Each party to this transaction has been afforded the opportunity to negotiate the terms of this Agreement, and to consult legal counsel regarding same; therefore, the Parties waive and disclaim the application of any principle of contract interpretation that would construe any ambiguity herein against either party as drafter hereof.
