DPD. Notwithstanding anything to the contrary herein, during the Term, McKesson agrees to sell, supply and deliver to Rite Aid, subject to availability and upon Rite Aid's Orders therefor from time to time, upon the terms and subject to the conditions of this Agreement, any Product for DPD, at the prices and on the terms applicable to DSD purchases hereunder. McKesson recognizes that as of the Effective Date, McKesson will be the second source for DPD after Rite Aid warehouses and Cardinal Health, Inc. Sales for DPD will not be included in any of the service level calculations for purposes of the Service Level Agreement.
DPD. Denmark Any Orders which are placed on a Friday, Saturday, Sunday or a public holiday in Denmark shall be processed as of the following Monday or as of the next working day. The delivery timescales are expressed in working days and shall vary depending on the destination of the goods. Without prejudice to the provisions hereinbefore and for information only, the delivery times generally noted for the various forms of delivery are as follows: - 4 (four) working days for “Express” deliveries bound for addresses in Denmark as from the confirmation of the Customer’s Order by the Vendor. In order to benefit from Express delivery, the Order must be placed by the Customer and confirmed by the Vendor before midday. - 5 (five) working days in the case of “Standard” deliveries bound for addresses in Denmark as from the confirmation of the Customer’s Order by the Vendor. - 7 (seven) working days in the case of “Collect point” deliveries bound for addresses in Denmark as from the confirmation of the Customer’s Order by the Vendor.

Compensation: Your base salary is $_______ per year, payable semi-monthly, which represents an increase over your prior salary level, and constitutes adequate consideration for the execution of this contract. As further incentive, you will be granted an additional ______ qualified options to purchase TriNet VCO's (the "Company") common stock subject to the vesting schedule, terms and conditions of TriNet VCO's Stock Option Plan, option agreement, and subject to approval of the Company's Board of Directors. The current budget calls for such bonus to be in the range of $25,000, but your signature on this document constitutes your acknowledgement that there is no guarantee of payment.

DPD. EXHIBIT B LIMITED EXCLUSION NOTIFICATION This is to notify you in accordance with Section 2872 of the California Labor Code that the foregoing Agreement between you and the Company does not require you to assign or offer to assign to the Company any invention that you developed entirely on your own time without using the Company's equipment, supplies, facilities or trade secret information except for those inventions that either: 1. Relate at the time of conception or reduction to practice of the invention to the Company's business, or actual or demonstrably anticipated research or development of the Company; 2. Result from any work performed by you for the Company.

DPD uses related to the performance of your job, you will not remove from TriNet VCO premises any Company Property without written consent of your manager. In the event of your termination of employment, or at any time at the request of the Company, you will return all Company Property. You will also return all copies of Company Property, and any work product derived from Company Property.
