Dong Clause Samples
Dong. A has requested and NeuroBo has agreed to extend the due date by which NeuroBo is obligated to issue [***] ([***]) shares of common stock to Dong-A pursuant to Section 4.2 (Equity) of the License Agreement. Accordingly, the parties agree as follows:
Dong. A wishes to license DA-9801 to NeuroBo to enable NeuroBo to file an investigational new drug application, to conduct further clinical trials, and then to produce, commercialize, and sell pharmaceuticals world-wide using DA-9801. Dong-A has reserved the right to exclusively (a) conduct clinical studies in the Republic of Korea for the purpose of obtaining approval from the Korea Ministry of Food and Drug Safety to sell products using DA-9801, and (b) offer to sell and sell products using DA-9801 in the Republic of Korea. Accordingly, the parties agree as follows:
Dong. A shall not be responsible for any taxes levied on account of the payments under this Agreement. In the event that any taxes are required to be paid on account of any payment hereunder, NeuroBo shall pay all such taxes.
Dong. A wishes to sell the intellectual property rights to DA-9803 to NeuroBo. Accordingly, the parties agree as follows:
Dong. A wishes to license the Licensed Products to NeuroBo to enable NeuroBo to conduct clinical development of the Licensed Products and sell or sublicense Licensed Products manufactured and supplied by Dong-A (except to the extent otherwise provided in Section 5.1 and Section 5.2), all of the foregoing in the applicable Field in the Territory. Accordingly, the Parties agree as follows:
Dong. A shall supply NeuroBo with the Licensed Products and/or their matching placebo together with a certificate of analysis, as described in the Product Specifications, for each batch of the Licensed Products and/or their matching placebo shipped hereunder certifying that such batch of the Licensed Products and/or their matching placebo meets the Product Specifications.
