Common use of Documentation of Assumption Clause in Contracts

Documentation of Assumption. At Closing the Purchaser shall deliver to the Seller an undertaking, reasonably satisfactory in form and substance to counsel for the Seller, under which the Purchaser will assume and agree to perform, discharge and pay the obligations and liabilities assumed by the Purchaser pursuant to this Agreement. An acceptable form of such undertaking is attached as Exhibit 3.03 hereto and made a part hereof.

Documentation of Assumption. At Closing the Purchaser Closing, Buyer shall deliver to the Seller an undertaking, reasonably satisfactory in form and substance to counsel for the Seller, undertaking under which the Purchaser Buyer will assume and agree to perform, discharge and pay the obligations and liabilities assumed by the Purchaser pursuant to this AgreementAssumed Liabilities.
