Common use of Documentation and Access Clause in Contracts

Documentation and Access. Upon request by Orchid from time to time, ▇▇▇▇▇▇▇ shall, within a reasonable time thereafter, deliver to Orchid copies of reasonable documentation describing the Licensed Technology and ▇▇▇▇▇▇▇ shall give access to and use reasonable efforts to keep Orchid apprised of all ongoing and future Licensed Technology created or acquired by ▇▇▇▇▇▇▇ and its Affiliates and subject to a license or Option to Orchid hereunder. In the event that Orchid shall have reason to believe that ▇▇▇▇▇▇▇ has not complied with the requirements of this Section 5.1, it shall so notify ▇▇▇▇▇▇▇ and ▇▇▇▇▇▇▇ shall be given a reasonable opportunity to cure such non-compliance.
