The 'Division A' clause serves as a section header or organizational division within a legal document, typically used to group related provisions or topics under a single heading. Division A. The shares of Preferred Stock may be divided into and issued in one or more series, the relative rights and preferences of which series may vary in any and all respects. The board of directors of the corporation is hereby vested with the authority to establish series of Preferred Stock by fixing and determining all the preferences, limitations and relative rights of the shares of any series so established, to the extent not provided for in these articles of incorporation or any amendment hereto, and with the authority to increase or decrease the number of shares within each such series; provided, however, that the board of directors may not decrease the number of shares within a series below the number of shares within such series that is then issued. The authority of the board of directors with respect to each such series shall include, but not be limited to, determination of the following:
Division A. 1. An employee in Subdivision 4 (Assistant Custodian) whose position is eliminated or who is displaced by a more senior employee shall have the right to displace any employee with less seniority occupying a position in Subdivision 4, Division A (Assistant Custodians).
2. An employee in Subdivision 3 (Night ▇▇▇▇▇▇▇) whose position is eliminated or who is displaced by a more senior employee shall have the right to displace any employee in Subdivisions 3 and 4 with less seniority, provided they are qualified to satisfactorily perform the duties of that same or lower graded position.
a. An employee in Subdivision 1 and 2 (Senior Custodians) whose position is eliminated or who is displaced by a more senior employee shall have the right to displace the employee with the least seniority in their same pay grade, provided their seniority permits and provided they are qualified to satisfactorily perform the duties of that same pay graded position.
b. If unable to displace in the same pay grade, they will have the right to displace the least senior employee in the highest pay grade below their own on Subdivision 2, provided they are qualified to satisfactorily perform the duties of that lower graded position.
c. If unable to displace in Subdivision 2, DIVISION A, they will have the right to displace any employee with less seniority in Subdivision 3 and 4, provided they are qualified to satisfactorily perform the duties of that lower graded position.
