District Representations Sample Clauses
District Representations. District represents and warrants to the Sellers as of the date of this Agreement and as of the Close of Escrow that:
(i) District is a public entity validly existing and in good standing under the laws of the State of California.
(ii) District has duly authorized the execution and performance of this Agreement and the execution and performance of all of the closing documents set forth herein.
(iii) District’s execution and performance of this Agreement and the closing documents will not violate any provision of the District’s organizational documents, or any deed of trust, lease, contract, agreement, instrument, order, judgment or decree by which District is bound.
(iv) The District has not engaged a broker with respect to the purchase of the Property contemplated herein.
District Representations. District represents and warrants for the benefit and reliance of Tenant as follows:
(a) District has the legal power, right and authority to enter into this Lease, (b) all requisite action has been taken by District in connection with entering into this Lease, and (c) no approval of any third party is required as a condition to the effectiveness of this Lease.
District Representations. The District represents to Tenant that to the best of the Chief Real Estate Officer’s current knowledge, there exist no conditions, encumbrances or unrecorded interests on the Premise [including the Santa ▇▇▇-Delhi Channel (“Delhi Channel”)] or pending disputes, legal actions or administrative proceedings that will interfere with development of the Premises as contemplated under this Lease. Additionally, to the best of the Chief Real Estate Officer’s current knowledge the existence, use and maintenance of the Delhi Channel will not interfere with the development of Premises as contemplated under this Lease. The Chief Real Estate Officer has conducted no investigation or inquiry related to the Premises to determine the suitability of the Premises for the uses permitted hereunder.
District Representations. The District represents that as of the date of

The District hereby covenants and agrees to the following: (a) the District shall not assign this agreement to any other person or entity without the prior written consent of HOA, which consent will not be unreasonably withheld, conditioned or delayed; and (b) District shall not convey any interest in the Property without the prior written consent of HOA.
District Representations. The District represents and warrants to the Paying Agent that the District has full legal right, power and authority to undertake, and the District has duly authorized and approved, the execution and delivery of this Agreement and the performance of its obligations contained herein; that no further authorization or approval is required for the execution, delivery or performance of this Agreement by the District; that the provisions of this Agreement applicable to the District constitute legal, valid and binding obligations of the District, enforceable in accordance with their terms; and that the execution and delivery of this Agreement by the District and the fulfillment of the terms and conditions of this Agreement are not in contravention of the terms of any law, administrative regulation, decree, order agreement, indenture, mortgage, lease or other instrument to which the District is subject or by which it is bound.
District Representations. The District's representations relating to the Premises are limited to the following: (i) fee title to the Property upon which the Premises are situated is held by the District free and clear of claims, liens or encumbrances which materially affect or impair the GGC's right to use and occupy the Premises for the training purposes (to include instruction the college may use from time to time); and (ii) subject to ratification of this Agreement by the Governing Board of the District, the District has the authority to enter into this Agreement and to grant the GGC the right to use and occupy the Premises upon the terms and conditions of this Agreement. Except as expressly set forth herein, there are no other warranties or representations of the District to the GGC relating to the Premises.
District Representations. District represents that it shall be responsible for performing the following in a reasonable and timely manner: (a) Coordination and execution of any decision-making with parties other than Contractor; (b) Provision of art/asset delivery in a form suitable for reproduction or incorporation into the DELIVERABLE(S) without further preparation, unless otherwise expressly provided in this Scope of Work; and (c) Final proofreading of DELIVERABLE(S). Note: In the event that CLIENT has approved DELIVERABLE(S) but errors, such as, by way of example, not limitation, typographic errors or misspellings, remain in the finished product, CLIENT shall incur the cost of correcting such errors. In such cases, NORMAL HOURLY RATE applies.
