Distributor represents and warrants to the Fund that it is duly incorporated as a New York limited liability company and is registered as a broker-dealer under the Securities Exchange Act of 1934 and the laws of each state where such registration is required for the distribution of the Fund's Shares and is and at all times will remain duly authorized and licensed to carry out its services as contemplated herein.
