Common use of Distributor Representations Clause in Contracts

Distributor Representations. Distributor represents and warrants that: (i) Distributor has the right to transfer good and merchantable title to the Products; and (ii) the Products sold and delivered to Participants pursuant to this Agreement and the Participant Joinder Agreements shall be sold and delivered free and clear of any and all claims, liens, charges, security interests or other encumbrances of any kind whatsoever.
