Distribution Utility Separation Tasks. The Separation tasks to be completed after the Closing by WWLC as the distribution utility are shown as “Distribution Utility Separation Tasks” on Exhibit 5.14, including the Separation features at the ▇▇▇▇▇ and ▇▇▇▇▇▇▇ Projects that are to be owned or operated by WWLC (generally, the 46kv level tasks, including the 46kv assets and substations). Some of the Distribution Utility Separation Tasks may be commenced or completed by Seller as the distribution utility, prior to the completion of the transactions contemplated by the Utility ASA.
