Common use of Distribution Model Clause in Contracts

Distribution Model. SERVI-CLOUD DOMINICANA has a contractual relationship with the Vendor, and the Reseller is the co-contrac- tor of the End Customer. The Reseller shall not act as an agent, representative or broker of a Vendor or SERVI- CLOUD DOMINICANA but shall act on its own behalf. The agreements between the Reseller and the End Cus- tomers are in no way enforceable against SERVI-CLOUD DOMINICANA. The End Customer pays the Reseller who in turn pays SERVI-CLOUD DOMINICANA. Some Vendors or Vendor licensors may require the End Customer to sign specific terms of use or license condi- tions applicable to the use of the relevant Service. This does not change the overall distribution model and pay- ment flow.
