Distributing or Controlled Clause Samples
The "Distributing or Controlled" clause defines the status of parties involved in a transaction as either the distributing entity or the controlled entity, typically in the context of corporate reorganizations or tax-related agreements. This clause clarifies which party is responsible for distributing assets or shares and which party is subject to such distributions, often referencing specific legal or tax definitions. Distributing or Controlled as the case may be, shall guarantee or otherwise perform the obligations of each other member of the Distributing Group or the Controlled Group, respectively, under this Agreement.
