Dissolution of AAMS. AGS and the Major Shareholders shall cooperate with Acquisition and WidePoint and do all acts necessary to (i) dissolve and wind up the operations of AAMS and (ii) facilitate the entering into by Acquisition and GPXS Services AG of a new joint venture or other business relationship between Acquisition and GPXS Services AG.
