Common use of Dissolution Events Clause in Contracts

Dissolution Events. (a) Except as set forth in Section 11.1(b), no Partner shall have the right to dissolve the Partnership. (b) The Partnership shall dissolve, and its affairs shall be wound up, upon the first to occur of the following events: (i) The sale, distribution, or other disposition of all or substantially all of the assets of the Partnership; (ii) The entry of a decree of judicial dissolution of the Partnership pursuant to Section 8.02 of the Act; or (iii) Subject to Section 11.2, the occurrence of an event with respect to the General Partner described in Section 4.02(a)(4) of the Act.

Dissolution Events. (a) Except as set forth in Section 11.1(b)this Article 9, no Partner shall have the right to dissolve the Partnership. (b) The Partnership shall dissolve, and its affairs shall be wound up, upon the first to occur of the following events: (i) The sale, distribution, the expiration of its stated term as provided in Section 2.9; (ii) the sale or other disposition of all or substantially all of the assets of the Partnership; (ii) The entry of a decree of judicial dissolution of the Partnership pursuant to Section 8.02 of the Actin accordance with this Agreement; or or (iii) Subject to Section 11.2, the occurrence written consent of an event with respect to the General Partner described in Section 4.02(a)(4) of the Actall Partners.
