Disqualifying Matters. With respect to the matters disclosed in --------------------- Schedule 5.4 that may disqualify Evergreen as (a) assignee of the FCC ------------ Authorizations listed in Schedule 4.7 to this Agreement or (b) owner and ------------ operator of either of the Stations, Evergreen will, beginning as promptly as practicable after the date of this Agreement, transfer, convey or place in trust all Station licenses or other interests necessary to remove all such disqualifications.
