Common use of Disputes Auditors’ Decision Clause in Contracts

Disputes Auditors’ Decision. The Disputes Auditors shall act as experts and not as arbitrators, shall review only the specific objections to the Reviewed Closing Statement as to which the Parties are in dispute as set out in the Objection Notice and shall make their determination based upon the terms, conditions and principles set forth in this Agreement and within the range of outcomes proposed by the Parties. The Parties agree that they will require the Disputes Auditors to render their decision within thirty (30) days after referral of the dispute to the Disputes Auditors for decision pursuant hereto. The decision of the Disputes Auditors shall be final and binding on the Sellers and the Purchaser.
