The Company will disclose in its quarterly reports on Form 10-Q, in its annual report on Form 10-K and/or in a Current Report on Form 8-K, the number of Placement Securities sold through Xxxxxxx Xxxxx Fargoand the Alternative Agent, the Net Proceeds to the Company and the compensation payable by the Company to Xxxxxxx Xxxxx Fargo and the Alternative Agent with respect to such Placement Securities.

Disclosure of Sales. The Company will disclose in its quarterly reports on Form 10-Q, in its annual report on Form 10-K and/or in a Current Report on Form 8-K, the number of Placement Securities sold through Xxxxx Fargo, the Net Proceeds to the Company Fargo Securities and the compensation payable Alternative Agents pursuant to this Agreement and the Alternative Distribution Agreements and the net proceeds received by the Company to Xxxxx Fargo with respect to such Placement Securitiessales of Common Stock pursuant to this Agreement and the Alternative Distribution Agreements, together with any other information that the Company reasonably believes is required to comply with the Securities Act.

Disclosure of Sales.
