Disclosure by Directors. If the Employee is a director, associate director or shadow director of a Singapore Subsidiary of the Company, the Employee is subject to certain notification requirements under the Singapore Companies Act, regardless of whether the Employee is a Singapore resident or employed in Singapore. Among these requirements is an obligation to notify the Singapore Subsidiary in writing when the Employee receives an interest (e.g., Restricted Stock Units, Shares) in the Company or any related companies. The Employee should contact the Company to obtain a copy of the notification form. In addition, the Employee must notify the Singapore Subsidiary when the Employee sells Shares of the Company or any related company (including when the Employee sells Shares issued pursuant to the Restricted Stock Units). These notifications must be made within two days of acquiring or disposing of any interest in the Company or any related company.
