Disabling Codes Clause Samples
The Disabling Codes clause establishes the right or mechanism for one party to use codes or software features that can disable or limit the functionality of a product or system, typically in the event of non-payment, breach of contract, or other specified conditions. In practice, this may involve embedding a software lock or remote access tool that can render equipment inoperable if contractual obligations are not met. The core function of this clause is to provide a means of enforcing compliance and protecting the provider’s interests by ensuring that the product or service cannot be used without proper authorization or fulfillment of agreed terms.
