Disabling Codes. To Butane's best knowledge, the software developed by Butane and used in the Butane Products and Services are free of any disabling codes or instructions (a "DISABLING CODE"), and any virus or other intentionally created, undocumented contaminant (a "CONTAMINANT"), that may, or may be used to, access, modify, delete, damage or disable the Systems (as defined below) or that may result in damage thereto. Software obtained from third party suppliers is, to Butane's knowledge, free of any Disabling Codes or Contaminants that may, or may be used to, access, modify, delete, damage or disable any of the Systems (as defined below) or that might result in damage thereto. Butane has taken reasonable steps and implemented reasonable procedures to ensure that its internal computer systems (consisting of hardware, software, databases or embedded control systems, "SYSTEMS") are free from Disabling Codes and Contaminants. Except as may be set forth in Section 4.18 of the Butane Disclosure Schedule, Butane has in place appropriate disaster recovery plans, procedures and facilities and has taken all reasonable steps to safeguard its Systems and restrict unauthorized access thereto.

Disabling Codes. Each Party agrees that it will not insert or use disabling codes in any software or equipment used to provide the Services. The Parties further covenant that with respect to any disabling code that may be part of any software or equipment used to provide the Services, neither Party will invoke such disabling code at any time, including upon expiration or termination of this Agreement for any reason.

Precision has taken reasonable steps and implemented reasonable procedures to ensure that its internal computer systems (consisting of hardware, software, databases or embedded control systems, "SYSTEMS") are free from Disabling Codes and Contaminants. Except as may be set forth in Section 3.19 of the Precision Disclosure Schedule, Precision has in place appropriate disaster recovery plans, procedures and facilities and has taken all reasonable steps to safeguard its Systems and restrict unauthorized access thereto.

Disabling Codes. To the Company's knowledge, the components used in the Company's and the Subsidiaries' products including any Company Software Materials, are free of any undisclosed program routine, device, or other feature, including, without limitation, a time bomb, software lock, drop-dead device, or malicious logic or, as of the time of each delivery, any virus, worm or trojan horse, that is designed to delete, disable, deactivate, interfere with, or otherwise harm them (a "Disabling Code") that may, or may be used to, access, modify, delete, damage or disable any hardware, system or data or that may result in damage thereto. The Company and the Subsidiaries have taken reasonable steps and implemented reasonable procedures to ensure that its hardware, systems and data are free from Disabling Codes. Reference source not found., the Company and the Subsidiaries have in place disaster recovery plans, procedures and facilities and have taken steps to safeguard their hardware, systems and data and restrict unauthorized access thereto.

Disabling Codes. Neither Party will knowingly insert, or knowingly --------------- allow to be inserted, into the software or systems used to provide the Services any code or other device that is designed to disable, damage, erase, delay or otherwise shut down all or any portion of the Services or the hardware, software, systems or data used in providing the Services or permits any person to circumvent the normal security of the software or the system containing the code.

Disabling Codes. Unless otherwise agreed by the Parties, Accenture shall not, insert into a Software Deliverable or any software used to provide Services any code, device, criteria, mechanism or function designed to have the effect of damaging, destroying, disabling, or otherwise shutting down, or altering the functionality of, or specifications for, or restricting the use of or access to, all or any portion of any Software Deliverable or any other system, program, data or other information.
