Common use of Directors; Officers Clause in Contracts

Directors; Officers. From and after the Effective Time, (a) the directors of Purchaser immediately prior to the Effective Time shall be the initial directors of the Surviving Corporation, until the earlier of (i) their resignation or removal or (ii) the time at which their respective successors are duly elected and qualified, as the case may be, and (b) the officers of the Company immediately prior to the Effective Time shall be the initial officers of the Surviving Corporation, until the earlier of (i) their resignation or removal or (ii) the time at which their respective successors are duly elected and qualified, as the case may be.
