Common use of Directions from the Controlling Party Clause in Contracts

Directions from the Controlling Party. (a) (i) Following the occurrence and during the continuation of an Indenture Default under any Indenture, the Controlling Party shall direct the Indenture Trustee under such Indenture in the exercise of remedies available to the holders of the Equipment Notes issued pursuant to such Indenture, including, without limitation, the ability to vote all such Equipment Notes in favor of declaring all of the unpaid principal amount of such Equipment Notes and accrued interest thereon to be due and payable under, and in accordance with, the provisions of such Indenture. Subject to the Owner Trustees' and the Owner Participants' rights set forth in the Indentures to purchase the Equipment Notes, if the Equipment Notes issued pursuant to any Indenture have been Accelerated following an Indenture Default with respect thereto, the Controlling Party may, on the terms and conditions set forth in such Indenture, direct the related Trustee to sell, assign, contract to sell or otherwise dispose of and deliver all (but not less than all) of such Equipment Notes to any Person at public or private sale, at any location at the option of the Controlling Party, all upon such terms and conditions as it may reasonably deem advisable in accordance with applicable law.

Subject to the Owner Trustees' and the Owner Participants' rights rights, if any, set forth in the Indentures with respect to Leased Aircraft to purchase the Equipment Notes, if the Equipment Notes issued pursuant to any Indenture have been Accelerated following an Indenture Default with respect thereto, the Controlling Party may, on the terms and conditions set forth in such Indenture, direct the related Trustee to may sell, assign, contract to sell or otherwise dispose of and deliver all (but not less than all) of such Equipment Notes to any Person at public or private sale, at any location at the option of the Controlling Party, all upon such terms and conditions as it may reasonably deem advisable in accordance with applicable law.

Subject to the Owner Trustees' and the Owner Participants' rights rights, if any, set forth in the Indentures with respect to Leased Aircraft to purchase the Equipment NotesNotes and the provisions of the next paragraph, if the Equipment Notes issued pursuant to any Indenture have been Accelerated following an Indenture Default with respect thereto, the Controlling Party may, on the terms and conditions set forth in such Indenture, may direct the related Trustee Subordination Agent to sell, assign, contract to sell or otherwise dispose of and deliver all (but not less than all) of such Equipment Notes to any Person at public or private sale, at any location at the option of the Controlling Party, all upon such terms and conditions as it may reasonably deem advisable in accordance with applicable law.

Subject to the Owner Trustees' and the Owner Participants' rights set forth in the Indentures to purchase the Equipment NotesTrust Certificates, if the Equipment Notes Trust Certificates issued pursuant to any Indenture have been Accelerated following an Indenture Event of Default with respect thereto, the Controlling Party may, on the terms and conditions set forth in such Indenture, direct the related Trustee to may sell, assign, contract to sell or otherwise dispose of and deliver all (but not less than all) of such Equipment Notes Trust Certificates to any Person at public or private sale, at any location at the option of the Controlling Party, all upon such terms and conditions as it may reasonably deem advisable in accordance with applicable law.
