DIP Commitment Election. □ By checking this box, the Joining Party hereby represents and warrants that as of June 3, 2019 it held First Lien Loans in the amount set forth below, and hereby commits to provide a share of the DIP Facility equal in percentage to the DIP Commitment (as defined below), and otherwise on the terms and conditions in the DIP Facility Term Sheet and/or the DIP Credit Agreement, as applicable.
