Development Principles. It is the Members’ intent and expectation, as of the Effective Date, that all Development Projects will be developed, constructed and operated in accordance with the development principles described on Exhibit D. The Members acknowledge, however, that such development principles are intended only as a non-binding guide and, with Unanimous Board Approval, any Development Project may be developed, constructed or operated in a manner that is inconsistent with such development principles.
Development Principles. It is the intent of the Parties that Development of Products in the Field will be conducted in accordance with the following principles except to the extent (if any) otherwise expressly provided in the then-current GDP established in accordance with Section 4.2.1 or 4.2.5 (as applicable), and the JDC (or the JSC, or the Executive Officers, or the Expert, as applicable) shall take into account and attempt to implement the following principles in its decision-making, including preparation, review and approval of any updates to and amendments of the GDP:

Development Principles. The Parties agree that in performing their respective obligations under this Agreement: (a) they will act in Good Faith; (b) they will develop and ▇▇▇▇▇▇ a culture of trust, collaboration and innovation; (c) all decisions will be made on a Best for Project basis; (d) they will have clear accountabilities, with the Owner providing direction; (e) all financial and commercial transactions are fully Open Book; (f) communication between them will be open and honest; and (g) all dealings between them will be ethical.

Development Principles. With years of development experience and long term tracking of international advanced application technology, based on standardized, scientific and practical development ideas and in accordance with user’s requirement for overall performance and functions, the followings principles shall be adopted when constructing this supporting system:
Development Principles. It is the intent of the Parties that Development of each Licensed Product in the Field will be conducted in accordance with the following principles except to the extent (if any) otherwise expressly provided in the then-current GDP established in accordance with Section 4.2.1 or 4.2.5 (as applicable) for such Licensed Product, and the DWG (or the JSC, or the Executive Officers, or the Expert, as applicable) shall take into account and attempt to implement the following principles in its decision-making, including preparation, review and approval of any updates to and amendments of such GDP (via amendments to the Core Development Plan for such Licensed Product): (a) Regardless of the specific division of responsibility between the Parties for particular activities at any particular time, the DWG shall serve as a conduit for sharing information, knowledge and expertise relating the Development of the Licensed Products; (b) Clinical development of Co-Promote Products should be performed according to a single, integrated global program, and such activities in the ExUS Territory shall follow and be consistent with the Core Development Plan for such Co-Promote Product; (c) The Party which will be primarily responsible for the conduct of the Development activities with respect to a Licensed Product shall take the lead in preparing the draft for review and comment by the DWG of the Core Development Plan (including the Core Development Budget) in consultation with the other Party; and (d) After receipt of a Regulatory Approval of a Licensed Product for an Indication in the United States or a Major European Country, Kite shall, at its sole cost, pursue Regulatory Approval for the Licensed Product for such Indication in any other countries and jurisdictions consistent with Commercially Reasonable Efforts.
Development Principles. The Parties shall apply the following principles as a basis for the development of the mine. 8.3.1 Subject to Articles 5.4, 5.6, 7.3 and 8.5, Party A and Party B shall have a 30% and 70% interest respectively in the Joint Venture Company. 8.3.2 The Parties may amend this Contract to provide a more detailed basis for the project and enter into agreements between themselves or with third parties to secure the technical, financial and other resources necessary to successfully develop the project. 8.3.3 Should Chinese law in the future so provide, the Parties may later agree to change the corporate form of the Joint Venture Company, for example to a company limited by shares, in order to facilitate the financing and healthy development of the project. 8.3.4 The Joint Venture Company may enter arrangements with financial institutions, either foreign or domestic, to enable the project to be developed and financed in the most economically efficient manner. 8.3.5 To support the financial stability of the project, preference should be given to sales denominated in foreign currency.
Development Principles. 4.1 It is agreed that the objectives of the parties under paragraph 3 may be met by adoption of a foundational principle that a comprehensive scheme is pursued, whereby the total costs (including those to be incurred under paragraph 3.1 in relation to the replacement school) are met through the private-sector led development of the Site for office and/or residential uses, by way of sale or long lease disposal. 4.2 Co-operative and collaborative joint working arrangements will be adopted, defined in this MoU and by the PID that aim to meet the needs of the local and borough community, as outlined in paragraph 4.4. 4.3 To agree a revised lease agreement that reflects the requirements of both parties to deliver upon the joint strategic objectives, in accordance with the provisions of paragraph 2.4. 4.4 To establish and then promote a major mixed-use development of the Site that seeks to provide:  the new modern educational facilities as outlined above in paragraph 3.1;  high-quality homes (including affordable) that are accessible and/or office space in line with Planning Policy requirements;  a community library and learning facility;  opportunities for enterprise and employment including a Not for Profit community restaurant;  on-site community play/leisure space and amenity.
Development Principles. The Parties will each conduct the Development of Products both pursuant to and outside of the scope of the POC Development Plan in accordance with the following principles, except to the extent (if any) otherwise expressly provided in the POC Development Plan or this Agreement, and the JSC will take into account and attempt to implement the following principles in its decision-making, including preparation, review and approval of any updates to and amendments of the POC Development Plan: (a) Regardless of the specific division of responsibility between the Parties for particular activities at any particular time, the JSC will serve as a conduit for sharing information, knowledge and expertise relating to the Development and Commercialization of the Product. (b) CANbridge will not conduct, or authorize or cause its Affiliates or any Sublicensees to conduct, any Development activity with respect to the Product if such activity would reasonably be likely to have a material adverse impact on the Development of the Product in the North America Territory. (c) AVEO will not conduct, or authorize or cause its Affiliates or any Sublicensees to conduct, any Development activity with respect to the Product if such activity would reasonably be likely to have a material adverse impact on the Development of the Product in the Licensed Territory. (d) Neither Party will conduct any Development activity with respect to the Product without first notifying the other Party of its intent to do so and discussing and coordinating such Development with the other Party’s Development activities, provided, that, if a Party is Developing or Commercializing a product for the same indication as the Product as of the date of any such discussions or coordination activities with the other Party, that Party will implement procedures reasonably acceptable to the other Party to ensure that none of its employees who are actively participating in the Development or Commercialization of the product for the other indication participates in, or has access to the information disclosed in, such discussions or coordination activities.
