Development Documentation and Technical Support. 4.1 Merck Responsible for Development. (a) Merck shall have the right and be responsible for researching, Developing, Manufacturing and Commercializing each Product at its expense, including: (i) conducting all necessary research and Development (including Clinical Trials) to help ensure that the Products are safe and efficacious; (ii) obtaining all necessary Marketing Authorizations; (iii) establishing, directly or through one or more Third Parties, appropriate facilities for Manufacturing each Product; and (iv) making all decisions with respect to the creation, modification and implementation of all such Development activities. (b) Merck may notify ▇▇▇▇▇ if Merck desires to expand the Delivery Method. ▇▇▇▇▇ will timely consider, in good faith, Merck’s request and, upon ▇▇▇▇▇’▇ agreement to so expand the Delivery Method, the Parties will amend this Agreement accordingly. (c) Upon written request of ▇▇▇▇▇, such request which may not be made more than once each Calendar Year, Merck will inform ▇▇▇▇▇ of the number of programs at Merck in which Merck is evaluating CpG 7909.
