Developer shall provide Constant Contact with contact information and provide Constant Contact with permission to share that contact information with any user of the Developer Offering. Developer shall update the contact information as needed such that Constant Contact always has current contact information for the Offering.
Developer Information. 4.1 The information (whether oral, written, or electronic) supplied by you as part of the registration process for the Development Data and / or on subsequent occasions (the “Developer Information”) is used by Royal Mail to determine whether you meet (and continue to meet) Royal Mail’s current qualification criteria for access to, and use of, the Development Data made available under the terms of this Agreement. 4.2 You agree that at the time the Developer Information was supplied to Royal Mail it was: (a) if it was factual, complete, true, and accurate in all material respects; (b) if it was an opinion or intention, made after careful consideration and was fair and made on reasonable grounds; and (c) not misleading in any material respect nor rendered misleading by a failure to disclose other information.
Developer Information. (i) An updated written description of the specific and general roles, responsibilities, and obligations of Developer, Developer’s members or partners, and any other entity participating in the legal entity established by Developer for purposes of developing the Project. Additionally, the written description of roles, responsibilities, and obligations shall identify the principals and other personnel, to the extent identified, from each participating party by name, title or position, and areas of responsibility within the development entity.
(ii) Copies of balance sheets and income/loss statements, prepared in accordance with generally accepted accounting principles, and other financial documentation as reasonably requested by District covering the last two years of Developer, Developer’s members or partners, and any other entity participating in the legal entity established by Developers for purposes of developing the Project.
(iii) A written statement concerning any litigation in which Developer or Developer’s partners or members is a party. Developer shall provide to District copies of any filed litigation documents in connection with any obligation listed in such written statement within five (5) business days of District’s written request.
(iv) All documents related to Developer’s corporate LLC, or partnership status, and the status of its members or partners, including but not limited to articles of incorporation.
