Determine Value Clause Samples

The "Determine Value" clause establishes the method or process by which the value of goods, services, or obligations is calculated under the agreement. Typically, this clause outlines the criteria, timing, and responsible parties for assessing value, such as referencing market rates, third-party appraisals, or agreed formulas. By clearly defining how value is determined, the clause helps prevent disputes and ensures both parties have a mutual understanding of how financial assessments will be handled throughout the contract.
Determine Value. Determine the fair market value of the Fund Property not less frequently than quarterly and as at December 31 of each fiscal year, in accordance with methods consistently followed and uniformly applied.
Determine Value. Determine the fair market value of the Fund as required for purposes of compliance with section 8.2 or as otherwise reasonably requested by the Company from time to time, in accordance with methods consistently followed and uniformly applied provided that in determining fair market value of the Fund or any portion thereof, the Trustee shall be entitled to rely on and shall be protected in relying on values provided by any Investment Manager appointed in respect of the Fund or such portion thereof pursuant to section 5.2.
