Common use of Determination of Fractional Shares Clause in Contracts

Determination of Fractional Shares. To determine, on the Business Day following the date on which Seller or the Collateral Agent delivers Common Stock and Marketable Securities to the Trust, as provided in Section 7.1 of the Contract or Section 7.1 of the Collateral Agreement: (A) for each Holder of Securities, such Holder’s pro rata share of the total number of Shares delivered to the Trustees under the Contract on such date; and (B) the number of fractional Shares allocable to each Holder (including, in the case of the Depositary, fractional Shares allocable to beneficial owners of Securities who own through Participants) and in the aggregate;
