Common use of Determination by Corporation’s Auditors Clause in Contracts

Determination by Corporation’s Auditors. In the event of any question arising with respect to the adjustments provided for in this Article 4, such question shall be conclusively determined by the Corporation's Auditors who shall have access to all necessary records of the Corporation, and such determination shall be binding upon the Corporation, the Trustee, all Warrantholders and all other persons interested therein.

Determination by Corporation’s Auditors. In the event of any question arising with respect to the adjustments provided for in this Article 45, such question shall be conclusively determined by the Corporation's Auditors ’s auditors or other independent auditors agreed upon by the Corporation and the Subscription Receipt Agent, who shall have access to all necessary records of the Corporation, and such determination (absent manifest error) shall be binding upon the Corporation, the TrusteeSubscription Receipt Agent, all Warrantholders Receiptholders and all other persons interested therein.
