Designer Outlet. 33.17.1 The Authority has the right to propose an Authority Change which removes the Designer Outlet Site from the scope of the Services. For the avoidance of doubt only the provisions of this clause 33.17 shall apply to such an Authority Change. 33.17.2 An Authority Notice of Change served under this clause 33.17 (“the Designer Outlet Notice of Change”) shall not constitute a breach of this Agreement by the Authority. 33.17.3 The Designer Outlet Notice of Change shall detail the notice period for removal of the Designer Outlet site from the Services. For the avoidance of doubt the Operator shall not be entitled to reject a Designer Outlet Notice of Change and shall comply with the provisions of this clause 33.17. 33.17.4 On receipt of the Designer Outlet Notice of Change the Operator shall confirm receipt of the same within five (5) Business Days. An adjustment to the Annual Licence Fee will be made to reflect the removal of the Designer Outlet Site and such adjustment will be no more than a decrease of twenty per cent (20%) of the prevailing Annual Licence Fee. No Direct or Indirect Losses will be payable by the Authority to the Operator as a consequence of the implementing the Designer Outlet Notice of Change.
