Designated Persons. None of the Borrower, the Broker Subsidiary or any Bank Subsidiary, nor, to the knowledge of the Borrower, any of their respective directors or officers, is a Designated Person. No Borrowing or the use of proceeds thereof by the Borrower or any Subsidiary will, directly or, to the knowledge of the Borrower, indirectly, violate Anti- Corruption Laws or Sanctions.
Designated Persons. During the Term, each party will maintain within its organization a designated person to serve as such party's primary point of contact for day-to-day communications, consultation and decision-making regarding the Services. Each designated person will be responsible for providing all day-to-day consents and approvals on behalf of such party under this Agreement. Each party will ensure its designated person has the requisite organizational authority, skill, experience and other qualifications to perform in such capacity. If either party’s designated person ceases to be employed by such party or such party otherwise wishes to replace its designated person, such party will promptly name a new designated person by written notice to the other party.

A person or entity: (i) listed in the annex to, or otherwise the subject of the provisions of, any executive order administered by OFAC or the U.S. Department of State or (ii) named as a “Specially Designated National and Blocked Person” or a “Foreign Sanctions Evaders” on the most current list published by OFAC at its official website or any replacement website or other replacement official publication of such list; or is otherwise the subject of any Sanctions Laws and Regulations.

Designated Persons. The parties recognize their respective obligations to appropriately administer the MOU in an efficient manner in the context of effective and efficient government operations. To this end, the Employer and FOP 34 shall each designate a person to discuss and resolve issues associated with release from duty or time off with pay.

(a) The Borrower shall not, and shall not permit any of its Subsidiaries to, directly or indirectly, use the proceeds of the Loans and the Letters of Credit, or lend, contribute or otherwise make available such proceeds or Letters of Credit to any subsidiary, joint venture partner or other person or entity (i) to fund any activities or business of or with any Designated Person, or in any country or territory, that at the time of such funding is the subject of any sanctions under any Sanctions Laws and Regulations, or (ii) in any other manner that would result in a violation of any Sanctions Laws and Regulations by the Borrower or any other Loan Party.
Designated Persons. Del Taco and the Developer certify to each other that (a) it is not acting, directly or indirectly, for or on behalf of any person, group, entity or nation named by an Executive Order or the United States Treasury Department as a terrorist, “Specifically Designated Nation and Blocked Person,” or other banned or blocked person, group, entity or nation pursuant to any law, order, rule or regulation enforced or administered by the Office of Foreign Assets control; and (g) it is not engaged in this transaction, directly or indirectly on behalf of, or instigating or facilitating this transaction, directly or indirectly on behalf of, any such person, group, entity or nation.
