Common use of Derivative Proceeding Clause in Contracts

Derivative Proceeding. KCD shall indemnify Director against expenses actually and reasonably incurred by Director in connection with the defense or settlement of any Derivative Proceeding if Director acted in good faith, in a manner that Director believed to be in the best interest of KCD's shareholders.
