Deposit Material Updates Clause Samples
The "Deposit Material Updates" clause requires that any updates or changes to materials previously deposited—such as source code, technical documentation, or other escrowed assets—are also submitted to the relevant depository. In practice, this means that whenever the original materials are modified, improved, or otherwise altered, the updated versions must be promptly provided to ensure the depository holds the most current and complete set of materials. This clause ensures that beneficiaries have access to up-to-date resources, thereby maintaining the value and utility of the deposited materials and preventing issues that could arise from outdated or incomplete information.
Deposit Material Updates. Depositor shall submit updates to the initial Deposit Materials to Escrow Associates within sixty (60) days of any material modification, upgrade or new release of the Products. Depositor shall complete and deliver with all updates to the Deposit Materials an amended Exhibit B form, which shall additionally become part of this Agreement. Escrow Associates shall notify Beneficiary within ten (10) business days of receipt of updates to the Deposit Materials. Escrow Associates has no obligation with respect to the updates to the Deposit Materials for delivery, functionality, completeness, performance or initial quality.
Deposit Material Updates. Depositor shall promptly submit any updates to the initial Deposit Materials to Escrow Associates. Depositor shall complete and deliver with all updates to the Deposit Materials an amended Exhibit B form, which shall additionally become part of this Agreement. Upon receipt of the updated deposit, Escrow Associates will verify (i) the total number of laboratory notebooks included in the update, (ii) that each laboratory notebook listed on the updated master inventory list is included in the update and (iii) that the that the individual to whom the laboratory notebook was issued as listed in each laboratory notebook corresponds to the same individual noted on the master inventory list. Escrow Associates will notify Beneficiary and Depositor of the results of such verification, expressly noting any discrepancies within [**] business days of receipt of updates to the Deposit Materials. Escrow Associates has no obligation with respect to the updates to the Deposit Materials for delivery, functionality, completeness, or initial quality.
Deposit Material Updates. Synbiotics shall submit updates to the initial Deposit Materials to Cryonix as and when required by the Settlement Agreement. Synbiotics shall complete and deliver with all updates to the Deposit Materials an amended listing of all Deposit Materials, divided into respective Deposit Categories. Cryonix shall notify Agen within 10 days of receipt of updates to the Deposit Materials. All references herein to “Deposit Materials” shall include such updates thereto. The listing itself constitutes Synbiotics proprietary information and is not to be released to Agen (but such list shall be included and held as part of the Deposit Materials).
Deposit Material Updates. Frankly warrants that it will ensure that the then-current version of the Source Code and all other instructions and materials forming part of the Deposit Materials is deposited with the Escrow Agent as an update to the Deposit Materials no less frequently than once per calendar quarter and following the completion of each major update to or release of the Software.
