Common use of Denominations; Registration; Delivery of ADRs Clause in Contracts

Denominations; Registration; Delivery of ADRs. ADRs evidencing the Securities purchased by the Underwriters hereunder shall be delivered by the Company to the Representative through the facilities of DTC, for the respective accounts of the Underwriters, against payment for the Securities by or on behalf of such Underwriters to the Company of the purchase price therefor by wire transfer through the Federal Wire System in New York in US dollars in immediately available funds to an account designated by the Company.
