Common use of DELIVERY UPON TERMINATION OR EXPIRATION Clause in Contracts

DELIVERY UPON TERMINATION OR EXPIRATION. Unless otherwise agreed in writing, no later than 5 business days, or such other time period as set forth within the Contract), after the termination or expiration of the Contract or upon System Agency’s request, Performing Agency shall deliver to System Agency all completed, or partially completed, Work Product, including any Incorporated Pre-Existing Works, and any versions thereof. Performing Agency’s failure to timely deliver such Work Product is a material breach of the Contract. Performing Agency is permitted to retain copies of the Work Product and any documentation or other products or results of Performing Agency’s activities under the Contract for its internal academic, educational, non-commercial patient-care, and/or research use.
