Delivery reliability. For the Clinical Supply and for the Routine Supply for the Acute Lymplopblastic Leukemia market, medac shall store the Product for a [***] rolling supply based on the annual forecast linked to the total development forecast based on the plan specified in Exhibit 2 as security stock. The annual forecast for the Routine Supply in other indications shall be negotiated in good faith between the Parties. In return ERYtech shall be obliged to purchase such security stock on the agreed terms in total and conditions prior to expiration of such security stock. Furthermore, should medac encounter production problems beyond such [***] storage, then medac shall deliver to all customers with, percentage wise, equal reduction compared to the forecasts of the respective customers.
Delivery reliability. It is the objective of RESOLUX to have a “delivered in full on time” reliability of 95% from the Supplier, measured per order line at agreed delivery time (based on the standard lead-time in appendix 1). The actual delivery performance is discussed at meetings every 6 months or as needed. The Supplier shall not be liable for delivery delays caused by force majeure; however, the Supplier shall undertake to minimize any delay and keep RESOLUX closely informed about the situation. RESOLUX have the right to terminate the agreement, written after warning, for breach in case of failure to meet the target over e.g., any one month or consecutive 3-month period.
Delivery reliability. The supplier is obligated to comply with and monitor the agreed quantities and dates. If he establishes that the ordered delivery quantity cannot be delivered on the agreed date, then Scherzinger Pump Technology’s contact person as stated in the order must be informed immediately. Deviations from the agreed delivery date and agreed quantity are also incorporated into the supplier evaluation (see QAA 5 – Supplier Evaluation) which represents an important decision- making criterion for Scherzinger Pump Technology in the placement of new orders. The supplier must assess his delivery reliability to Scherzinger Pump Technology on a regular basis – including incidents associated with additional freight costs. This data must be made available to Scherzinger Pump Technology on request.
Delivery reliability. On time delivery In the event the delivery is too early or too late (in deviation from the agreed delivery date) this might be considered non-conform by DSM. Partial deliveries will also be regarded as non-conform, unless agreed otherwise with DSM. Periodically the percentage of total orders showing a deviation will be calculated.
