The Sellers and Buyer shall cooperate with each other to the extent reasonably requested and legally permitted so as to minimize any sales taxes. Buyer and the Sellers shall each be responsible for and shall bear 50% of any costs (including, but not limited to, taxes) of recording any assignments.

The delivery of any Note by the Trustee, after the authentication thereof hereunder, shall constitute due delivery of the Subsidiary Guarantee set forth in this Indenture on behalf of the Subsidiary Guarantors.
