Common use of Delivery of Instruments and Chattel Paper Clause in Contracts

Delivery of Instruments and Chattel Paper. If any amount payable under or in connection with any of the Collateral shall be or become evidenced by any Instrument, Certificated Security or Chattel Paper in an amount exceeding $1,000,000, such Instrument, Certificated Security or Chattel Paper shall be immediately delivered to the Administrative Agent, duly indorsed in a manner satisfactory to the Administrative Agent, to be held as Collateral pursuant to this Agreement.

Delivery of Instruments and Chattel Paper. If any amount payable under or in connection with any of the Collateral in excess of $1,000,000 shall be or become evidenced by any Instrument, Certificated Security or Chattel Paper in an amount exceeding $1,000,000Paper, such Instrument, Certificated Security (unless such Certificated Security is in a Securities Account subject to a Control Agreement) or Chattel Paper shall be immediately delivered to the Administrative Agent, duly indorsed in a manner satisfactory to the Administrative Agent, to be held as Collateral pursuant to this Agreement.

If any amount in excess of $100,000 payable under or in connection with any of the Collateral shall be or become evidenced by any Instrument, Certificated Security or Chattel Paper in an amount exceeding $1,000,000Paper, such Instrument, Certificated Security or Chattel Paper shall be immediately promptly delivered to the Administrative Agent, duly indorsed in a manner reasonably satisfactory to the Administrative Agent, to be held as Collateral pursuant to this Agreement.

If any amount payable under or in connection with any of the Collateral shall be or become evidenced by any Instrument, Certificated Security Instrument or Chattel Paper having a value in an amount exceeding excess of $1,000,000100,000 in the aggregate, such Instrument, Certificated Security Instrument or Chattel Paper shall be immediately delivered to the Administrative Collateral Agent, duly indorsed in a manner satisfactory to the Administrative Collateral Agent, to be held as Collateral pursuant to this Agreement.

If any amount payable under or in connection with any of the Collateral shall be or become evidenced by any Instrument, Certificated Security Instrument in excess of $500,000 or any Chattel Paper in an amount exceeding $1,000,000Paper, such Instrument, Certificated Security Instrument or Chattel Paper shall be immediately delivered to the Administrative Agent, duly indorsed in a manner reasonably satisfactory to the Administrative Agent, to be held as Collateral pursuant to this Agreement, except, with respect to Chattel Paper owned by Triad Financial, as permitted by Sections 7.9 and 7.10 of the Credit Agreement.

If any amount payable under or in connection with any of the Collateral shall be or become evidenced by any Instrument, Certificated Security or Chattel Paper in an amount exceeding $1,000,000Paper, such Instrument, Certificated Security or Chattel Paper shall be immediately delivered to the Administrative Agent, duly indorsed in a manner satisfactory to the Administrative Agent, to be held as Collateral pursuant to this Agreement, except each Grantor shall not be required to so deliver Instruments and Chattel Paper to the extent the amounts payable with respect thereto do not exceed $250,000.
