Common use of Delivery of Information Clause in Contracts

Delivery of Information. The Agent shall not be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the Agent from the Borrowers, any Subsidiary, the Majority Lenders, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (i) as specifically provided in this Credit Agreement or any other Credit Document and (ii) as specifically requested from time to time in writing by any Lender with respect to a specific document, instrument, notice or other written communication received by and in the possession of the Agent at the time of receipt of such request and then only in accordance with such specific request.

Delivery of Information. The Agent shall not be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the Agent from the BorrowersBorrower, any Subsidiary, the Majority Lenders, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (i) as specifically provided in this Credit Agreement or any other Credit Document and (ii) as specifically requested from time to time in writing by any Lender with respect to a specific document, instrument, notice or other written communication received by and in the possession of the Agent at the time of receipt of such request and then only in accordance with such specific request.

Delivery of Information. The Agent Agents shall not be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the Agent Agents from the Borrowersany Credit Party, any Subsidiary, the Majority Required Lenders, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (i) as specifically provided in this Credit Agreement or any other Credit Document and (ii) as specifically requested from time to time in writing by any Lender with respect to a specific document, instrument, notice or other written communication received by and in the possession of the Agent Agents at the time of receipt of such request and then only in accordance with such specific request.

The Agent shall not be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the Agent from the BorrowersBorrower, any Subsidiary, the Majority Required Lenders, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (i) as specifically provided in this Credit Agreement or any other Credit Document and (ii) as specifically requested from time to time in writing by any Lender with respect to a specific document, document instrument, notice or other written communication received by and in the possession of the Agent at the time of receipt of such request and then only in accordance with such specific request.

Delivery of Information. The No Agent shall not be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the such Agent from Holdings, the BorrowersBorrower, any Subsidiary, the Majority Required Lenders, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (i) as specifically provided in this Credit Agreement or any other Credit Document and (ii) as specifically requested from time to time in writing by any Lender with respect to a specific document, instrument, notice or other written communication received by and in the possession of the Administrative Agent at the time of receipt of such request and then only in accordance with such specific request.

Delivery of Information. The Agent shall not be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the Agent from any of the Borrowers, Credit Parties or any SubsidiarySubsidiary of any of the Credit Parties, the Majority Lenders, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (i) as specifically provided in this Credit Agreement or any other Credit Document and (ii) as specifically requested from time to time in writing by any Lender with respect to a specific document, instrument, notice or other written communication received by and in the possession of the Agent at the time of receipt of such request and then only in accordance with such specific request.

The Agent shall not be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the Agent from the BorrowersGuarantor, any SubsidiaryBorrower, any Subsidiary thereof, the Majority Lenders, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (i) as specifically provided in this Credit Agreement or any other Credit Document and (ii) as specifically requested from time to time in writing by any Lender with respect to a specific document, instrument, notice or other written communication received by and in the possession of the Agent at the time of receipt of such request and then only in accordance with such specific request.

Delivery of Information. The Agent Facility Agents shall not be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the any Facility Agent from the Borrowersany Credit Party, any Subsidiary, the Majority Required Lenders, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (i) as specifically provided in this Credit Agreement or any other Credit Document and (ii) as specifically requested from time to time in writing by any Lender with respect to a specific document, instrument, notice or other written communication received by and in the possession of the respective Facility Agent at the time of receipt of such request and then only in accordance with such specific request.

Delivery of Information. The Agent shall not be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the Agent from the Borrowers, any Subsidiary, the Majority Required Lenders, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (i) as specifically provided in this Credit Agreement or any other Credit Document and (ii) as specifically requested from time to time in writing by any Lender with respect to a specific document, document instrument, notice or other written communication received by and in the possession of the Agent at the time of receipt of such request and then only in accordance with such specific request.

Delivery of Information. The Agent shall not be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the Agent from any of the Borrowers, Credit Parties or any Subsidiary, Subsidiary of any of the Majority LendersCredit Parties, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document Document, except (i) as specifically provided in this Credit Agreement or any other Credit Document and (ii) as specifically requested from time to time in writing by any Lender with respect to a specific document, instrument, notice or other written communication received by and in the possession of the Agent at the time of receipt of such request and then only in accordance with such specific request.

The Agent shall not not: be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the Agent from any of the Borrowers, Credit Parties or any Subsidiary, Subsidiary of any of the Majority LendersCredit Parties, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (i) as specifically provided in this Credit Agreement or any other Credit Document and (ii) as specifically requested from time to time in writing by any Lender with respect to a specific document, instrument, notice or other written communication received by and in the possession of the Agent at the time of receipt of such request and then only in accordance with such specific request.

Delivery of Information. The Agent shall not be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the Agent from the Borrowers, any SubsidiarySubsidiary of a Borrower, the Majority Lenders, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (i) as specifically provided in this Credit Agreement or any other Credit Document and (ii) as specifically requested from time to time in writing by any Lender with respect to a specific document, instrument, notice or other written communication received by and in the possession of the Agent at the time of receipt of such request and then only in accordance with such specific request.

Delivery of Information. The Agent shall not be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the Agent from the Borrowers, any Subsidiary, the Majority Required Lenders, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (ia) as specifically provided in this Credit Agreement or any other Credit Document and (iib) as specifically requested from time to time in writing by any Lender with respect to a specific document, instrument, instrument notice or other written communication received by and in the possession of the Agent at the time of receipt of such request and then only in accordance with such specific request.

Delivery of Information. The Agent shall not be required to deliver to any Lender Bank originals or copies of any documents, instruments, notices, communications or other information received by the Agent from the BorrowersBorrower, any Subsidiary, the Majority Lenders, any Lender Bank or any other Person under or in connection with this Credit Agreement or any other Credit Document Loan Document, except (i) if sent or received pursuant to Articles 7 and 9 of this Agreement, (ii) as specifically provided in this Credit Agreement or any other Credit Loan Document and (iiiii) as specifically requested from time to time in writing by any Lender Bank with respect to a specific document, instrument, notice or other written communication received by and in the possession of the Agent at the time of receipt of such request and then only in accordance with such specific request.

Delivery of Information. The Agent shall not be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the Agent from any Credit Party, the Borrowers, any SubsidiarySubsidiaries of Safety, the Majority Lenders, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (i) as specifically provided in this Credit Agreement or any other Credit Document and (ii) as specifically requested from time to time in writing by any Lender with respect to a specific document, instrument, notice or other written communication received by and in the possession of the Agent at the time of receipt of such request and then only in accordance with such specific request.

Delivery of Information. The Agent shall not be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the Agent from the BorrowersBorrower, any Subsidiary, the Majority Lenders, the Required Lenders, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (i) as specifically provided in this Credit Agreement or any other Credit Document and (ii) as specifically requested from time to time in writing by any Lender with respect to a specific document, instrument, notice or other written communication received by and in the possession of the Agent pursuant hereto at the time of receipt of such request and then only in accordance with such specific request.. -127- 135

The Agent Agents shall not be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the Agent Agents from the Borrowersany Loan Party, any Subsidiary, the Majority Required Lenders, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Loan Document except (i) as specifically provided in this Credit Agreement or any other Credit Loan Document and (ii) as specifically requested from time to time in writing by any Lender with respect to a specific document, instrument, notice or other written communication received by and in the possession of the Administrative Agent at the time of receipt of such request and then only in accordance with such specific request.

Delivery of Information. The Agent shall not be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the Agent from Holding, the BorrowersBorrower, any Subsidiary, the Majority Required Lenders, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (i) as specifically provided in this Credit Agreement or any other Credit Document and (ii) as specifically requested from time to time in writing by any Lender with respect to a specific document, instrument, notice or other written communication received by and in the possession of the Agent at the time of receipt of such request and then only in accordance with such specific request.

Delivery of Information. The Agent shall not be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the Agent from Holdings, the BorrowersBorrower, any Subsidiary, the Majority Required Lenders, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (i) as specifically provided in this Credit Agreement or any other Credit Document and (ii) as specifically requested from time to time in writing by any Lender with respect to a specific document, instrument, notice or other written communication received by and in the possession of the Agent at the time of receipt of such request and then only in accordance with such specific request.

Delivery of Information. The Agent shall not be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the Agent from the Borrowers, Credit Parties or any Subsidiaryof their Subsidiaries, the Majority Required Lenders, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (ia) as specifically provided in this Credit Agreement or any other Credit Document and (iib) as specifically requested from time to time in writing by any Lender with respect to a specific document, document instrument, notice or other written communication received by and in the possession of the Agent at the time of receipt of such request and then only in accordance with such specific request. The Agent agrees to furnish to the Lenders copies of the notices given to the Agent pursuant to Section 7.5, the second sentence of Section 7.6, Section 7.15 and Section 7.16.

Delivery of Information. The Agent shall not be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the Agent from the BorrowersBorrower, any SubsidiarySubsidiary of the Borrower, the Majority Lenders, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (i) as specifically provided in this Credit Agreement or any other Credit Document and (ii) as specifically requested from time to time in writing by any Lender with respect to a specific document, instrument, notice or other written communication received by and in the possession of the Agent at the time of receipt of such request and then only in accordance with such specific request.

Delivery of Information. The Agent shall not be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the Agent from any of the Borrowers, Credit Parties or any Subsidiary, Subsidiary of any of the Majority LendersCredit Parties, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (i) as specifically provided in this Credit Agreement or any other Credit Document and (ii) as specifically requested from time to time in writing by any Lender with respect to a specific document, instrument, notice or other written communication received by and in the possession of the Agent at the time of receipt of such request and then only in accordance with such specific request.

Delivery of Information. The Neither the Administrative Agent nor the Collateral Agent shall not be required to deliver to any Lender originals or copies of any documents., instruments, notices, communications or other information received by the such Agent from the Borrowers, any SubsidiaryCredit Party, the Majority Lenders, Requisite Lenders or any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (i) as specifically provided in this Credit Agreement or any other Credit Document and (ii) as specifically requested from time to time in writing by any Lender with respect to a specific document, instrument, notice or other written communication received by and in the possession of the such Agent at the time of receipt of such request and then only in accordance with such specific request.

Delivery of Information. The Agent shall not be required to deliver to ----------------------- any Lender originals or copies of any documents, instruments, notices, communications or other information received by the Agent from any of the Borrowers, Credit Parties or any SubsidiarySubsidiary of any of the Credit Parties, the Majority Lenders, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (iI) as specifically provided in this Credit Agreement or any other Credit Document and (iiII) as specifically requested from time to time in writing by any Lender with respect to a specific document, instrument, notice or other written communication received by and in the possession of the Agent at the time of receipt of such request and then only in accordance with such specific request.

Delivery of Information. The Agent shall not be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the Agent from the Borrowers, Credit Parties or any Subsidiaryof their Subsidiaries, the Majority Required Lenders, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (ia) as specifically provided in this Credit Agreement or any other Credit Document and (iib) as specifically requested from time to time in writing by any Lender with respect to a specific document, document instrument, notice or other written communication received by and in the possession of the Agent at the time of receipt of such request and then only in accordance with such specific request.

Delivery of Information. The Agent Agents shall not be required to deliver to any Lender originals or copies of any documents, instruments, notices, communications or other information received by the Agent Agents from the Borrowersany Obligor, any Subsidiary, the Majority Required Lenders, any Lender or any other Person under or in connection with this Credit Agreement or any other Credit Document except (i) as specifically provided in this Credit Agreement or any other Credit Document and (ii) as specifically requested from time to time in writing by any Lender with respect to a specific document, instrument, notice or other written communication received by and in the possession of the any Agent at the time of receipt of such request and then only in accordance with such specific request.
