Common use of Delivery of Definitive Notes or Individual Note Certificates Clause in Contracts

Delivery of Definitive Notes or Individual Note Certificates. The Issuer shall, in relation to each Tranche of Notes which is represented by a Global Note or Global Registered Note which is due to be exchanged for Definitive Notes or Individual Note Certificates in accordance with its terms, ensure that there is delivered to the Fiscal Agent or the Registrar, as the case may be, not less than ten Local Banking Days before the relevant Global Note or Global Registered Note becomes exchangeable therefor, the Definitive Notes or Individual Note Certificates, as the case may be, (in unauthenticated form but executed by the Issuer and otherwise complete) in relation thereto. The Fiscal Agent or the Registrar, as the case may be, shall authenticate and deliver such Definitive Notes or Individual Note Certificates in accordance with the terms hereof and of the relevant Global Note or Global Registered Note.
