DELEGATION BY THE BOARD OF DIRECTORS. Subject to restrictions otherwise provided herein, the Board of Directors may at any time employ a Manager, including a Manager affiliated with, or related to any member of the Board of Directors or any Member to perform services for the Company and its business, and may delegate all or part of their duties, authority or control to such Manager, provided that such employment or delegation shall not relieve the Board of Directors of its respective responsibilities and obligations under this Agreement or under the laws of the State of New Mexico nor will it make any such Manager a Member of the Company.
