Delayed Redemption/Repurchase. Any redemption or repurchase of Redeemable Preferred Shares which cannot be effected, and any Redeemable Preferred Dividend which cannot be paid, in each case due to prohibitions under the LLC Act or applicable law, shall be effected or paid on the first date following such prohibited payment that such payment is not so prohibited.
