Delaware Registered Office and Agent. The Partnership shall maintain a Delaware registered office and agent for the service of process as required by the Act. If the registered agent ceases to act as such for any reason or the registered office shall change, the General Partner shall promptly designate a replacement registered agent and file an amendment to the Certificate of Limited Partnership of the Partnership or file a notice of change of address, as the case may be, each with the Secretary of State of the State of Delaware.
