Common use of Definitive Documents Clause in Contracts

Definitive Documents. The Definitive Documents remain subject to negotiation and completion. Each of the Definitive Documents shall (i) contain terms and conditions consistent in all material respects with this Agreement, including the Transaction Term Sheet, as may be amended, restated, amended and restated, supplemented or otherwise modified from time to time in accordance with Section 12 hereof, and (ii) otherwise be in form and substance reasonably acceptable to the Company and the Steering Committee.

Definitive Documents. The Definitive Documents remain subject to negotiation and completion. Each of the Definitive Documents shall (i) shall, upon effectiveness, contain terms terms, conditions, representations, warranties, and conditions covenants consistent in all material respects with the terms of this Agreement, including the Transaction Term Sheet, as this Agreement (including the Term Sheet) may be modified, amended, restated, amended and restated, or supplemented or otherwise modified from time pursuant to time in accordance with Section 12 hereof, and (ii) otherwise be in form and substance reasonably acceptable to the Company and the Steering Committee12.
