The words “this Agreement,” “herein,” “hereby,” “hereunder” and “hereof,” and words of similar import, refer to this Agreement as a whole and not to any particular subdivision unless expressly so limited. The words “this Article,” “this Section” and “this subsection,” and words of similar import, refer only to the Article, Section or subsection hereof in which such words occur. The word “or” is disjunctive but not necessarily exclusive, and the word “including” (in its various forms) means “including without limitation”. Each of the parties hereto agree that they have been represented by counsel during the negotiation and execution of this Agreement and that they have participated substantially in the negotiation and drafting of this Agreement and, accordingly, each party hereby disclaims any defense or assertion in any action or proceeding and waives the application of any applicable law or rule of construction providing that any ambiguity in this Agreement should be construed against the draftsperson.
