Definitions, References and Headings. As used in this Agreement, the terms "vote of a majority of the outstanding voting securities", "interested person", "principal underwriter" and "assignment" shall have the respective meanings provided in the Investment Company Act and the rules thereunder, subject, however, to such exemptions or no-action responses as may be granted by the Securities and Exchange Commission under said Act. Headings are placed herein for convenience of reference only and shall not be taken as a part hereof or control or affect the meaning, construction or effect of this Agreement.
