Defend Trade Secrets Act. The Executive acknowledges that the Company has provided the Executive with the following notice of immunity rights in compliance with the requirements of the Defend Trade Secrets Act of 2016 (18 U.S.C. Section 1833(b)): (a) The Executive shall not be held criminally or civilly liable under any Federal or State trade secret law for the disclosure of Confidential Information or Trade Secrets that is made in confidence to a Federal, State, or local government official or to an attorney solely for the purpose of reporting or investigating a suspected violation of law; (b) The Executive shall not be held criminally or civilly liable under any Federal or State trade secret law for the disclosure of Confidential Information or Trade Secrets that is made in a complaint or other document filed in a lawsuit or other proceeding, if such filing is made under seal; and (c) if the Executive files a lawsuit for retaliation by the Executive’s employer for reporting a suspected violation of law, the Executive may disclose the Confidential Information or Trade Secrets to the Executive’s attorney and use the Confidential Information or Trade Secrets in the court proceeding, provided that the Executive file any document containing the Confidential Information or Trade Secrets under seal and do not disclose the Confidential Information or Trade Secrets, except pursuant to court order.
