Common use of Declared Clause in Contracts

Declared. promised or made any distribution from the Assets or other payment from the Assets to Shareholder (other than reasonable compensation for services actually rendered) or issued any additional shares or rights, options or calls with respect to the capital stock of Seller, or redeemed, purchased or otherwise acquired any of the capital stock of Seller, or made any change whatsoever in Seller's capital structure (if such action would affect the ability of Seller to consummate the transactions contemplated in this Agreement or would cause the necessity of obtaining the consent of any individual or entity not disclosed in Exhibit 3.9);
