Debt Rating Changes. Upon any change in its Debt Rating, the Borrowers shall promptly deliver such information to the Agent.

Debt Rating Changes. Promptly and in any event with three (3) Business Days of the Borrower obtaining knowledge thereof, any change in the Debt Rating; provided, that failure to provide notice of an upgrade of the Debt Rating shall not constitute an Event of Default hereunder; provided, further, that for purposes of the definition of “Applicable Margin,” the Debt Rating will have deemed to have changed on the date on which the applicable rating agency publicly issues the relevant Debt Rating; and
